Waverly Piecegoods Licenses P. Kaufmann

October 18, 2006

NEW YORK, New York — Waverly Fabrics Corp. has licensed P. Kaufmann Inc., the 50-year-old converter to produce the Waverly Fabrics line on an exclusive contract basis.

The deal was finalized October 14 after several months of negotiations with several interested parties, including P. Kaufmann.

Under this arrangement, Gerald Puschel Waverly principal, will collect royalties from P. Kaufmann as the licensee. P. Kaufmann has essentially purchased a license from Waverly to develop and distribute Waverly piecegoods in the USA and worldwide.

With this transaction, Waverly will focus on design and licensing which its management considers its core competency as opposed to converting. P. Kaufmann said it will establish a completely separate division for the new business including business offices, design studios, management and sales force. The details of this effort are being worked out now, a company spokesman said.

With this arrangement now completed, Waverly licenses as opposed to directly manufacturing or converting, its home fashions through Ellery Home Styles; wall covering by Blue Mountain Industries and piece goods through P. Kaufmann.

Waverly owner F. Schumacher & Company will continue to handle design and sales of Schumacher, Greeff, Decorator's Walk and Patterson, Flynn & Martin brands. Waverly has 17 licensed producers to produce its branded range of home furnishings.
